Terms of Service

Welcome to Roots. These Terms of Service (“Terms”) govern your access to and use of the Roots mobile application, website, and associated services (the “Platform”), which are provided by Roots, Inc. (“Roots,” “we,” “our,” or “us”). By accessing or using the Platform, you agree to be legally bound by these Terms and our Privacy Policy.

1. Acceptance and Updates

By creating an account or otherwise using the Platform, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Platform.

We may revise these Terms at any time. Material changes will be communicated through the Platform, email, or other reasonable means at least 30 days before they take effect. Continued use after changes means acceptance of the revised Terms.

2. Eligibility and Account Creation

Age Requirement: You must be at least 13 years old to use Roots. If you are between 13 and 17, you represent that you have permission from a parent or guardian. We do not knowingly collect personal data from anyone under 13.

Account Accuracy: You agree to provide true, current, and complete information during registration and to maintain its accuracy.

Account Security: You are responsible for safeguarding your login credentials and any activity on your account. Notify us immediately at stevenlohanroots@gmail.com if you suspect unauthorized use.

3. Acceptable Use and Prohibited Conduct

You agree not to:

A. Content Violations:

  • Post anything illegal, harassing, abusive, pornographic, obscene, or invasive of privacy
  • Promote violence, hate speech, or discrimination
  • Share explicit or suggestive content involving minors
  • Upload spam, commercial solicitations, or deceptive links

B. Technical Violations:

  • Hack, scrape, or bypass security measures
  • Introduce viruses, bots, or malicious code
  • Reverse-engineer or interfere with platform functionality

C. Legal and Ethical Violations:

  • Impersonate others
  • Violate laws or third-party rights
  • Harass, stalk, or intimidate other users

We reserve the right to suspend or terminate any account involved in such activities, with or without notice.

4. Your Content and Our License

You retain ownership of all content you upload (“User Content”). By posting, you grant Roots a non-exclusive, worldwide, royalty-free license to host, store, modify, display, and distribute that content solely to operate, improve, and promote the Platform.

You represent that:

  • You own or have rights to the content you upload
  • It does not violate any law or third-party rights

We reserve the right to remove or moderate content in violation of these Terms, though we are not obligated to do so.

5. Intellectual Property

The Platform, its code, design, and trademarks are owned by Roots and protected by applicable IP laws. Unauthorized use is prohibited.

DMCA Notice: If you believe content on Roots infringes your copyright, please contact us at stevenlohanroots@gmail.com with:

  • Your name and contact info
  • Description and location of the infringing content
  • A good-faith belief that the use is unauthorized
  • A statement under penalty of perjury that your claim is accurate
  • Your signature (physical or electronic)

6. Privacy

Your privacy is important. Please read our Privacy Policy to understand what data we collect and how it’s used. By using the Platform, you consent to those practices.

We never sell user data. Sensitive content is handled securely, and content moderation is limited to your private family network unless legally required.

7. Subscriptions and Payments

Billing: Subscriptions are billed in advance and are non-refundable, unless required by law.

Renewals: Plans renew automatically unless canceled in advance.

Price Changes: You will be notified at least 30 days in advance of any price increase.

Refunds: We do not issue refunds except where legally required or otherwise stated.

8. Platform Changes and Availability

We reserve the right to:

  • Modify or remove Platform features
  • Conduct maintenance that may affect access
  • Update software or usage limits without liability

9. Termination

You may terminate your account at any time. We may suspend or terminate your account for:

  • Breaching these Terms
  • Engaging in unlawful or harmful conduct
  • Extended inactivity

Termination results in loss of access. Some data may be retained as required by law or our internal retention policy.

10. Disclaimer of Warranties

Roots is provided “as is” and “as available.”

We make no guarantees that the Platform will be error-free or uninterrupted. We disclaim all warranties, express or implied, including those of merchantability, fitness for a particular purpose, and non-infringement.

You use Roots at your own risk.

11. Limitation of Liability

To the fullest extent permitted by law:

No Indirect Damages: We are not liable for any indirect, incidental, consequential, special, or punitive damages.

Liability Cap: Our total liability shall not exceed the greater of $100 or the amount you paid us in the last 12 months.

12. Indemnification

You agree to defend, indemnify, and hold harmless Roots and its affiliates from any claims or liabilities resulting from your:

  • Use of the Platform
  • Violation of these Terms
  • Violation of third-party rights
  • Uploaded User Content

13. Dispute Resolution and Arbitration

All disputes shall be resolved through binding arbitration with the American Arbitration Association (AAA).

You agree to waive class action claims.

You may opt out of arbitration by emailing stevenlohanroots@gmail.com within 30 days of account creation.

Exceptions: Either party may seek injunctive or equitable relief in court for violations of intellectual property rights or unauthorized use of the Platform.

14. Force Majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, war, service outages, or regulatory changes.

15. Severability and Waiver

If any provision is deemed invalid, the remainder of the Terms remains enforceable. Our failure to enforce any right is not a waiver of that right.

16. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms to a successor entity or affiliate.

17. Entire Agreement

These Terms, along with our Privacy Policy and any feature-specific agreements, represent the entire agreement between you and Roots.

18. Governing Law

These Terms are governed by the laws of the State of Delaware. If arbitration is not applicable, disputes shall be resolved in the courts of New Castle County, Delaware.
